1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" — these Terms and Conditions together with any applicable Service Scope document
- "Service" — the consulting, advisory, or learning services provided by Ploen Axis as described in a Service Scope
- "Client" / "User" — the individual or organization accessing our website or engaging our services
- "We" / "Us" / "Our" — Ploen Axis Co., Ltd., 109 Thepkrasattri Road, Rassada, Mueang Phuket, Phuket 83000, Thailand
- "Content" — all documents, deliverables, reports, training materials, and other outputs produced as part of a Service
- "Service Scope" — the written document describing the agreed scope, deliverables, timeline, and fee for a specific engagement
2. Acceptance of Terms
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to do so. Clients must be at least 18 years of age or hold equivalent legal capacity to enter into a binding agreement.
3. Service Description
Ploen Axis provides three primary services: AI Vendor Evaluation and Selection Advisory, AI for Healthcare Operations Consulting, and the AI Academy Enterprise Learning Partnership. The specific scope, deliverables, duration, and pricing of each engagement are defined in a written Service Scope agreed prior to commencement. Services are currently available to organizations based in Thailand and the ASEAN region.
4. Engagement and Service Scopes
No service engagement commences without a signed or confirmed written Service Scope. The Service Scope governs the specific obligations, timelines, and deliverables of that engagement. In the event of any conflict between these Terms and a Service Scope, the Service Scope prevails for that engagement. Material changes to a confirmed scope require written agreement from both parties before taking effect.
5. Payment Terms
All fees are quoted and payable in Thai Baht (THB) unless otherwise specified. Standard payment terms are 50% upon engagement confirmation and 50% upon delivery of final deliverables, unless agreed otherwise in the Service Scope. Late payments may incur interest at the rate permitted under applicable Thai law. Invoices are issued electronically. Prices listed on our website are starting prices and may vary based on scope.
6. Cancellation and Refunds
Where a client cancels a confirmed engagement before commencement, any deposit paid may be retained to cover preparation and opportunity costs incurred. For cancellations after commencement, fees are due for work completed to the date of cancellation. The AI Academy annual program may be cancelled with 60 days' written notice; fees for the period already served are non-refundable. Ploen Axis reserves the right to cancel an engagement due to circumstances beyond our control, in which case any unearned fees will be refunded within 30 days.
7. Client Responsibilities
Clients agree to:
- Provide accurate and complete information required for service delivery in a timely manner
- Make relevant stakeholders and personnel reasonably available for sessions, interviews, and reviews
- Review and provide feedback on draft deliverables within agreed timeframes
- Use deliverables only for the purposes stated in the Service Scope
- Not misrepresent the scope or nature of deliverables to third parties
8. Intellectual Property
Ploen Axis retains ownership of all methodologies, frameworks, tools, templates, and background intellectual property used in delivering services. Upon full payment, clients receive a non-exclusive, non-transferable license to use the deliverables produced for their engagement for internal business purposes. Clients may not resell, sublicense, or publicly distribute deliverables without prior written consent.
Training materials produced as part of the AI Academy remain the property of Ploen Axis and are licensed to the client for internal use during the partnership term.
9. Confidentiality
Both parties agree to maintain strict confidentiality of any non-public information received from the other party during and after the engagement. Ploen Axis will not disclose client data, internal systems information, or business strategy details to any third party without written consent, except where required by Thai law. This obligation survives termination of the Agreement for a period of five years.
10. Disclaimers
Services are provided on a professional advisory basis. While we apply diligence and expertise to all engagements, Ploen Axis does not warrant that any specific business, operational, or financial outcomes will result from our recommendations. AI technology landscapes change rapidly; vendor information and market conditions assessed during an engagement reflect the situation at the time of delivery. Recommendations are not a substitute for independent legal, financial, or technical advice where such advice is required.
11. Limitation of Liability
To the maximum extent permitted by Thai law, Ploen Axis's total liability arising from or relating to any engagement shall not exceed the total fees paid by the client for that specific engagement. We are not liable for indirect, consequential, incidental, or special damages, including loss of revenue, loss of data, or business interruption, however caused. This limitation does not apply to liability arising from gross negligence or wilful misconduct.
12. Termination
Either party may terminate an engagement by providing written notice if the other party materially breaches this Agreement and fails to remedy the breach within 14 days of written notice. Ploen Axis may suspend or terminate access to AI Academy digital resources immediately upon non-payment. Sections 8, 9, 11, and 13 survive termination.
13. Governing Law and Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation does not resolve the matter within 30 days, disputes shall be subject to the jurisdiction of the courts of Phuket Province, Thailand.
14. General Provisions
- Entire Agreement: These Terms and any applicable Service Scope constitute the entire agreement between the parties regarding the subject matter.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: Clients may not assign their rights or obligations without prior written consent from Ploen Axis.
- Notices: Formal notices must be sent in writing to the contact details below.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via our website and the "Last Updated" date will be revised. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
